On February 2, the IEEE Boston Entrepreneurs’ Network panel will approach the topic “Licensing Technology” from both sides.

Leslie Williams, our first speaker will offer both perspectives discussing licensing technology from hospitals and universities. At what stage of development can we attract seed investment? How do we assess marketability? What unmet needs are met? How to transition from the lab into products? She will discuss what terms and payment structures will the entrepreneur or the VC seek in licensing. What royalty? What license fees and milestones? What equity for the licensor? What terms on sublicensing and royalty stacking?

Jack Turner, our second speaker will discuss licensing MIT technology to early stage companies. He too will discuss university licensing terms and offer insights – dos and don’ts – for entrepreneurs and startup companies to successfully license technology from MIT.

Mark Morley, our third speaker will also speak as a licensor, discussing how his company licenses out technology. He will discuss terms that a small or mid size high tech company seeks as it licenses out its technology to generate revenue, as it acquires technology through cross-licensing, as it secures sources of supply, as it maximizes incentives to gain sales and market traction, and the implications of licensing on mergers and acquisitions.

Whether you are or want to be a technology licensor or licensee, there is much to learn from the experience of our speakers.

Leslie Williams, Founder and CEO early stage Cancer Therapeutics Co.

Recognized in 2006 as one of the top 100 leaders in life sciences by PharmaVOICE magazine, Leslie Williams has more than 20 years of industry experience in healthcare, management, commercial product development and marketing. Leslie is Founder & CEO for an early stage Cancer Therapeutics company in Cambridge, MA. The Company’s mission is to exploit endogenous biological systems to improve and amplify tumor targeting. From 2004 to 2007, Leslie was president and chief executive officer of Ventaira after serving as vice president of business and commercial development, and chief operating officer. Prior to Ventaira, Williams was director of marketing for INO Therapeutics, Inc. and held commercial positions at Merck and GlaxoSmithKline. Leslie was also a Venture Partner with Battelle Ventures. As a venture partner, she sourced and evaluated deals and assisted early-stage technology companies with strategy, management, business development and M&A strategy and execution. Leslie holds a B.S. degree biology/nursing with honors from the University of Iowa and an MBA from Washington University.

 


Jack Turner, The Associate Director of the MIT Technology Licensing Office, http://web.mit.edu/tlo/www/  ) in charge of licensing for physical sciences and engineering, the Media Laboratory, and Lincoln Laboratory, Jack joined the TLO 1993 after working for more than twenty-five years in engineering and senior management positions at three, Boston-area, high-technology companies. Following 10 years managing radar system design in Raytheon's Equipment Division, Jack spent the next 15 years with two small companies: Metritape, Inc. providing tank-gauging equipment to the marine industry, and Whistler Corporation, a consumer electronics manufacturer. He has been involved with product design, manufacturing, and marketing throughout his career. Jack graduated with an Electrical Engineering degree from M.I.T. and is member of the Institute of Electrical and Electronics Engineers, the Society of Automotive Engineers, the Licensing Executive Society, and the Association of University Technology Managers.

 

 


Mark Morley, EVP and General Counsel to Verdasys, Inc., a mid-size high tech company (www.verdasys.com  ) and past COO and CFO in other computer and software companies, Mark has an extensive management and financial background in high technology. Prior to his position at Verdasys, Mark served as CFO at Encore Computer Corporation, (NASDAQ), the international manufacturer of real time computers, as the company grew from $2 million to over $200 million. He also served as CFO at Iomega Corporation, (NYSE), the international manufacturer of the ZIP drive, Chief Operating Officer and co-founder of privately held Obian, Inc., a Sarbanes-Oxley software company, Executive Vice-president, and CFO of ONTOS, Inc., an eBusiness solutions and software company, and CFO and Senior Vice President at NewRiver Inc., where he was responsible for guiding the fiscal growth during the turnaround of NewRiver. Mark was also the Executive Consultant responsible for M&A at Sensormatic Corporation, (NYSE) a $1 billion supplier of electronic security systems. In this role, he completed over $100 million of transactions. He graduated from Boston College (AB Economics), Boston College Law School (JD), and Harvard Business School (AMP).

Robert Adelson, our moderator is a business attorney, skilled in drafting and negotiating technology licenses. Rob has been a corporate and tax attorney since 1977. He began as an associate at major New York law firms Dewey Ballantine and Weil Gotshal & Manges, before returning home to Boston in 1985 where he has since been a partner in small and medium sized firms before joining his present firm in 2004. Rob’s clients are (1) early stage companies, (2) independent consultants, (3) senior executives and key employees, and (4) family businesses. His main practice areas are: Business formation and finance; Commercial contracts, licensing, alliances; Executive employment, stock, options and severance; Trademarks, copyrights; M&A. He is a frequent speaker and author of articles published by Boston Business Journal, Mass High Tech, Family Business Magazine, Genetic Engineering News, Culpepper Letter and others. Rob is also Chairman of Boston Entrepreneurs’ Network and Board member of 128 Innovation Capital Group. He holds degrees from Boston University, B.A., summa cum laude, Phi Beta Kappa, Northwestern University (Chicago), J.D., Law Review, New York University, LL.M. in Taxation.
